Closing and e-signature

Closing takes days, and then I can’t find the signed contract.

An agent builds the contract from the committee’s approval, checks it against the current template, routes it for signature through the tools you already use and archives the signed document with its index. Legal approves the template; your authorized signatory signs.

This is how we would do it: today we don’t run closing or e-signature for any client. What does run is what comes before, the loan file and the credit memo, at a Mexican lender.

What it looks like from legal and operations.

  1. Contracts get built by copying data by hand.

Amount, rate, term, collateral and co-obligors get carried from the approval into the template, and that’s where errors creep in.

  2. The current version isn’t always the one that gets signed.

The template changed, the new version was registered, and someone is still using the old one.

  3. Signing stalls.

The borrower is in another city, a co-signer is missing, or the promissory note sits on someone’s desk.

  4. The signed contract can’t be found.

It’s in an email, a shared folder or on paper, and nobody knows whether it’s complete.

What changes

What would the agent do?

It would take the committee’s approval and build the contract, the promissory note and the collateral exhibits from the loan file, with no re-keying. It would check the document against the current template for that product. It would route it for signature through the e-signature platform you already use, with each signer in order. And when it came back, it would confirm it’s complete and archive it with its index, tied to the loan.

What wouldn’t it do?

It doesn’t draft clauses or change the template: that belongs to your legal team, which approves every version. It doesn’t sign for anyone: the borrower, the co-obligors and your authorized signatory do. If any data in the approval doesn’t match the file, the agent holds the contract and hands it to a person.

How it runs
The agent
An agent connected to your origination system, your template repository and your e-signature platform, off-the-shelf or in-house. It builds, checks, routes, confirms and archives.
The accountable person
Your legal team owns the agent and approves every template; your authorized signatory signs. For the first 4 weeks, the agent checks with a person on every decision and action. After that, anything high-stakes —every off-template contract, every mismatch with the approval— always goes through a person; simple things, like chasing a pending signature, it handles with what it learned, and every action is logged.
The evidence
For every contract: which template version it was built from, against which approval, who signed, in what order and when, and where it’s archived. It’s auditable: in a complaint or a review, the signed contract and its history are in one place.
The stop button
Your team pauses the agent whenever it wants and closing continues manually. A contract that doesn’t match the current template doesn’t go out for signature.
The rule that raises the bar

What gets signed has to be what’s registered, and kept.

The adhesion contract the borrower signs is the one on file.

Lenders’ adhesion contracts are registered with CONDUSEF in RECA, its contract registry, and in its review of payroll-lending SOFOMs the regulator found institutions handing out versions that were no longer current. A signed contract that differs from the registered one is a finding. Checking every contract against the current template before signing prevents it.

What’s signed electronically has to be preserved properly.

Mexico has an official standard for preserving data messages and digitized documents, setting the requirements for a document to keep its integrity over time. Archiving the signed contract with its preservation record and its index is what lets you produce it years later.

Proof

We don’t have a closing case yet.

We don’t run closing or e-signature for any client, and we won’t say otherwise. What does run, at a Mexican lender, is what comes right before signing: the loan file with tax validation and the credit engine’s memo, with leadership’s note and signature when they overrule it. Questions

What a lender asks before starting.

Can an agent draft a loan contract?
It can fill in the template your legal team approved with data from the approval and the loan file, without re-keying, and check the result against the current version. It doesn’t write clauses or set terms: that belongs to legal and the committee. If something doesn’t match between the approval and the file, the contract doesn’t go out and a person reviews it.
Can a loan be signed remotely in Mexico?
Yes, with e-signature and with the requirements regulation sets for remote contracting, which your legal team confirms for your type of institution and product. The agent doesn’t choose the mechanism: it uses the signature platform you already have, puts signers in order, chases every pending signature and archives the document with its record.
How do I know the current version of the contract was signed?
Because every contract is built from the current template for that product and checked against it before it goes out for signature. The template version and date are logged. When the template changes, the new version enters the repository with legal’s approval, and the old one stops being used that same day.
What does it cost, and how do we start?
You start with a free diagnostic: we review your contract templates, your signing route and where signed documents are archived today, and tell you which parts an agent can handle and which stay with legal. Pricing comes in a formal proposal. There is a one-time activation fee and a monthly operations fee.
